By accessing and utilizing the TerraFirma Capital Advisors digital platform ("Platform"), you acknowledge that you have read, understood, and unequivocally agree to be bound by these Terms of Service. If you do not accept these terms in their entirety, you are strictly prohibited from using our services.

2. Nature of Services

TerraFirma Capital Advisors provides institutional-grade strategic financial advisory, capital matchmaking, SPV formation, and ESG-optimised portfolio management.

3. Regulatory Compliance & SOPARFI Structure

We operate under a Luxembourg SOPARFI (Société de Participations Financières) structure. All preliminary engagements and subsequent transactions are subject to rigorous adherence to:

• Commission de Surveillance du Secteur Financier (CSSF) regulations.
• Markets in Financial Instruments Directive II (MiFID II).
• 5th Anti-Money Laundering Directive (AML5).
• Sustainable Finance Disclosure Regulation (SFDR).

4. Intellectual Property

All proprietary matching algorithms, trade names, visual media, methodologies, and content hosted on this Platform are the exclusive intellectual property of TerraFirma Capital Advisors. Unauthorized reproduction, scraping, or distribution is subject to immediate legal action.

5. Limitation of Liability

TerraFirma Capital Advisors, its directors, employees, or strategic partners shall not be held liable for any direct, indirect, incidental, or consequential damages resulting from the use or inability to use the Platform, or any reliance on the information provided herein.

6. Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Grand Duchy of Luxembourg. Any disputes arising hereunder will be subject to the exclusive jurisdiction of the courts of Luxembourg City.
